The Black-Box Handoff
A vendor delivers a working system with no real ownership transfer, creating permanent dependency.
What it looks like
- —Every small change has to go back through the original vendor
- —There's no source code access, or the code exists but nobody explained the architecture
- —The relationship feels less like a completed project and more like a subscription you can't cancel
Why it happens
A vendor's incentive is sometimes to keep you dependent, not to hand over something you can run yourselves — it's a slower, less visibly obvious business model than a one-time build.
How to avoid it
Before signing anything, ask directly: what exactly do we own on completion, and could a different engineer pick this up without you? A vendor confident in their own work should have an easy answer.
